Every
UK Limited company has
to have a registered
office. This address
is declared to Companies
House at the time of
incorporation and is
recorded on the public
register. This needs
to be an actual address
in the UK; overseas
addresses will not be
accepted. It is also
not possible to submit
a PO Box as a registered
office address.
Do I need to display
the company name?
It is a legal requirement
to display the company
name at the registered
office. This
is often done using
a standard brass plate.
However, in reality
this is not necessary.
You may have your name
clearly displayed on
your own business signage.
Alternatively you may
not wish to display
the company name so
prominently. This can
be avoided by simply
putting a label somewhere
sensible near the entrance
to the property.
Does the registered
office need to be located
at the main place of
business?
The simple answer is
no. Whilst many businesses
will operate from their
registered office address
it is not a legal requirement.
You may have your registered
office at your accountants,
an administration base
for the company or even
use a service provider
like a company formation
agent or a virtual office
company.
Can I change the
registered office address
after incorporation?
The address recorded
at Companies House can
be changed at any time.
This is done quite simply
by submitting a form
287 manually or electronically
through e-filling. There
is no charge for this
service from Companies
House.
Can I use any UK address?
There are only a few
restrictions to this.
Companies registered
in England or Wales
can have a registered
office in either country.
Scottish companies must
have their registered
office in Scotland.
Similarly companies
that are registered
in Northern Ireland
need to have their registered
office in Northern Ireland.
Can
I use a service address?
Yes you can. It should
be a real address and
not a PO BOX. There
are companies that can
provide this service
for you.
